WW DISPLAYS, INC. – TERMS & CONDITIONS OF SALE
(Rev. October 2025 — LEAN)
1. Applicability
These Terms apply to all quotations, orders, and sales by WW Displays, Inc., including its divisions (WW Pedestals, WW Bridal Displays). By ordering (website, phone, email, or in writing), Customer agrees these Terms govern. These Terms supersede conflicting Customer terms. If both parties sign a Master Agreement, it controls over any inconsistent term here.
2. Order Acceptance
- Orders are accepted when WW issues written confirmation or receives payment.
- Online customers accept by clicking “I Agree.” Offline customers accept by PO, payment, or written confirmation.
- Orders may be changed or canceled before manufacturing begins unless custom materials have been ordered. After production starts, cancellations are at WW’s discretion.
3. Returns
All products are custom-made to order and may not be returned. All sales are final except for valid warranty claims under these Terms.
4. Payment & Taxes
- Payment is due at order unless WW agrees otherwise. Production begins after payment. Credit cards accepted (phone or online).
- For (i) orders over $10,000 or (ii) approved PO terms: 50% at order, 50% at shipment.
- Late amounts accrue 1.5% per month (or the legal maximum).
- Prices exclude taxes. WW collects tax only where required (currently IL and NC). Provide a valid resale/exemption certificate at order to avoid tax.
5. Shipping & Delivery (Parcel and Freight)
WW ships via parcel (e.g., FedEx, UPS) and common carrier (LTL/FTL). Quotes are estimates based on size/weight and site requirements (e.g., liftgate/appointment). Actual freight and accessorials are invoiced per carrier bill.
- Customer must provide a complete address, site contact, and any constraints.
- Standard delivery is Mon–Fri, 8:00 a.m.–5:00 p.m. local time.
- If delivery conditions change (missed appointment, refusal, site not ready), Customer pays resulting charges.
Risk of Loss; Title
Unless stated otherwise, title and risk pass to Customer when WW tenders the shipment to the carrier. If Customer uses its own account/carrier, Customer bears all transit risk and claims handling.
Carrier Delays
Delivery dates are estimates; WW is not responsible for carrier delays.
6. Receipt, Inspection & Claims (Read Before Opening)
Failure to follow these steps (photos, receipt notation, timely notice, preservation of packaging) may limit or void remedies and carrier recovery. WW photographs outbound packaging/pallets to support claims.

Before Signing: Visible Damage/Shortage
Inspect pallets/cartons. If damage/shortage is visible:
- Photograph cartons/pallets (multiple angles).
- Note specifics on the delivery receipt/BOL (e.g., “carton crushed,” “1 short”).
- Email photos and order details to in**@********ys.com the **same day**.

Careful Unpacking
Use two-person lifts; support shelves/arms; do not drag or cut against finished surfaces; avoid box cutters near acrylic. Damage during unpacking/assembly is not transit damage and is not covered by warranty.

Concealed Damage
If discovered after opening with no visible carton damage:
- Photograph the product and all packaging immediately.
- Keep all packaging/pallets.
- Email in**@********ys.com within **four (4) business days**.
- Do not discard packaging until the claim is resolved.

Severe Damage
Reject the shipment and notify WW immediately.
7. Customer-Selected Shippers / Third-Party Billing
If Customer designates its own carrier or ship-on-account, Customer assumes all transit risk, claims filing, and costs for replacement or repair.
8. Safety, Installation & Use
Customer is responsible for safe use, movement, placement, installation, and anchoring of all Products, including pedestals, dress racks, fitting rooms, and any item that could tip if unsecured. Products must sit on level, stable surfaces and not be overloaded.
Professional Installation
Some Products require professional installation and anchoring to wall, floor, or other structural support. WW does not supply anchors/blocking/fasteners and does not perform or supervise installation. Customer must select qualified installers, use substrate-appropriate anchors, and comply with applicable codes/permits.
Assumption of Risk
Customer assumes risks arising from improper handling, insufficient anchoring, overloading, or unsafe conditions. WW disclaims liability for misuse, unsafe installation, code-noncompliance, or tip hazards. This section does not expand WW’s Limited Warranty.
9. California Proposition 65 Notice
WARNING: This product can expose you to chemicals known to the State of California to cause cancer, birth defects, or other reproductive harm. See www.P65Warnings.ca.gov.
10. Privacy & Payment Processing
- Payments are processed by secure third-party processors; WW does not store full card details.
- WW may share delivery contact details with carriers for shipping and claims.
- WW does not sell Customer information. See WW’s Website Privacy Policy.
11. Limitation of Liability
WW’s aggregate liability is limited to the purchase price of the affected Products. WW shall not be liable for indirect, incidental, consequential, special, or punitive damages (including lost profits, loss of use, or business interruption) or for personal injury or property damage arising from product use or misuse.
12. Warranty Provisions & Remedies
WW warrants Products to be free from defects in materials and workmanship for six (6) months from shipment, when used, installed, and maintained per WW’s care instructions. Customer’s sole remedy is repair, replacement, or refund (at WW’s discretion).

Authorization/RMA
Warranty service requires prior authorization. Contact in**@********ys.com for an RMA and return instructions. Customer is responsible for safe packaging and inbound freight unless otherwise agreed in writing. For approved claims, WW covers reasonable outbound freight in the U.S.

Disclaimers
Except as expressly stated, WW disclaims all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement, to the fullest extent permitted by law.

Exclusions
The following are **not defects**: Normal wear and tear; cosmetic imperfections after delivery; environmental/climatic effects (temperature, humidity, water, UV); damage from accident, misuse, modification, or improper handling/installation/anchoring/overloading or code-noncompliance; transit damage or loss (claim with carrier); and color/finish variations from natural materials or lighting. See Appendix A for acrylic standards.
13. Force Majeure
WW is not liable for delays or nonperformance caused by events beyond its reasonable control, including natural disasters, labor disputes, government actions, transportation disruptions, or utility OR equipment failures.
14. Termination
WW may suspend performance or cancel any order if Customer fails to pay any amount due, becomes insolvent, or materially breaches these Terms.
15. Disputes & Governing Law
Disputes will be resolved by binding arbitration before a single arbitrator under the AAA Commercial Rules in Chicago, Illinois, under Illinois law. Either party may file individual claims in Lake County small-claims court or seek injunctive relief in a court of competent jurisdiction.
16. Severability
If any provision of these Terms is held invalid or unenforceable, the remaining provisions will remain in full force and effect.
Appendix A – Acrylic Fabrication Standards
Acceptable Characteristics:
- Small bubbles or light polishing lines at joints
- Slight distortions or color variation inherent to acrylic
- Minor surface irregularities from solvent-based or PS30 methods
Defects:
- Open joints and gouges
- Scratches visible from a normal viewing distance (36–48 inches)
- Carbon specs larger than $1\text{ mm}$
- Excess glue residue, cracks, or visible separation in joints
- Deep scratches, cloudiness, or hazing on visible faces not attributable to normal handling
